Agreement
By engaging KairoDev for any service — through our contact form, email, or any written agreement — you confirm that you have read, understood, and agree to these Terms of Service. These terms govern all projects, deliverables, and engagements between you (the Client) and KairoDev, a digital design agency operated by Ali Mostafa, Cairo, Egypt.
Scope of services
KairoDev provides digital design and development services including, but not limited to: website revamps, custom Shopify theme design, logo and brand identity, mobile app design, pitch decks, poster design, marketing strategy, and ongoing maintenance. The specific scope, deliverables, and timeline for each project are agreed upon in writing before work begins. Work outside the agreed scope is quoted separately.
Project initiation and payment
All projects require a 50% deposit before work begins. The remaining balance is due upon delivery of final files or deployment of the completed work, whichever comes first. Invoices are payable within 7 days of issue. Work will not begin — and final files will not be released — until the relevant payment has cleared. For ongoing retainers or maintenance plans, payment is due at the start of each billing cycle.
Revisions
Each project phase includes up to three (3) rounds of revisions within the agreed scope. A revision is defined as a set of feedback consolidated into a single document or message. Feedback submitted across multiple separate messages may be treated as multiple revision rounds. Requests that fall outside the original brief — including changes to scope, direction, or deliverables — are quoted as additional work.
Timeline
Project timelines are agreed upon in writing at project start and are estimates, not guarantees. Timelines are contingent on timely receipt of client content, assets, feedback, and approvals. Delays caused by late feedback or missing materials will extend the delivery date accordingly. KairoDev will communicate proactively if any delay arises on our side.
Client responsibilities
You are responsible for providing all required content, assets, credentials, and feedback within the agreed timeframe. This includes written copy, images, brand guidelines, and access to existing platforms (e.g. Shopify admin, hosting, domain registrar) where applicable. Failure to provide required materials on time may delay delivery and, if delays exceed 30 days, may result in the project being paused and re-scoped.
Intellectual property
Upon receipt of full and final payment, all intellectual property rights to the final deliverables — including designs, code, and assets created specifically for your project — transfer to you. KairoDev retains the right to display completed work in our portfolio, case studies, and marketing materials unless you request otherwise in writing at the time of project completion. All third-party assets (stock photography, licensed fonts, open-source libraries) remain subject to their original licence terms.
Confidentiality
KairoDev treats all client information — including business strategy, unreleased products, and financial data — as confidential. If you require a formal Non-Disclosure Agreement before sharing sensitive information, please request one before the engagement begins. KairoDev will not share confidential client information with third parties without your explicit consent.
Limitation of liability
KairoDev's total liability for any claim arising from a project shall not exceed the total fees paid for that specific project. KairoDev is not liable for any indirect, incidental, or consequential damages, including loss of revenue, loss of data, or business interruption, arising from the use or inability to use any deliverable. You are responsible for maintaining backups of your existing website and data before KairoDev begins any development work.
Cancellation
Either party may cancel a project with 7 days' written notice. If you cancel after work has begun, the deposit is non-refundable. If additional work has been completed beyond the deposit value, a pro-rata invoice will be issued for that work. If KairoDev cancels, any fees paid beyond the work completed will be refunded within 14 days.
Governing law
These Terms of Service are governed by the laws of the Arab Republic of Egypt. Any disputes arising from a project engagement shall be subject to the jurisdiction of the courts of Cairo, Egypt. We will always attempt to resolve disputes amicably before any formal proceedings.
Changes to these terms
KairoDev may update these Terms of Service from time to time. Changes will be posted at kairodev.com/terms and, where material, communicated to active clients by email. Continued engagement with KairoDev after the effective date of any update constitutes acceptance of the revised terms.
